These Terms of Use ("Terms") govern your access to and use of the invoice management software and related services (the “Service”) provided by Irusri Group AB (“Company”, “we”, “us”, or “our”).

By creating an account or using the Service, you agree to be legally bound by these Terms.

If you do not agree, you must not use the Service.

2. Description of the Service

The Service is a cloud-based invoice management and billing platform that enables businesses to:

• Create and send invoices
• Manage clients and payments
• Track financial transactions
• Generate reports
• Automate recurring billing

We reserve the right to modify, suspend, or discontinue features at any time.

3. Eligibility

You must:

• Be at least 18 years old
• Have legal capacity to enter into a binding agreement
• Use the Service for lawful business purposes

By using the Service, you confirm that you meet these requirements.

4. Account Registration & Security

To access certain features, you must create an account.

You agree to:

• Provide accurate and complete information
• Keep your login credentials secure
• Notify us immediately of unauthorized access

You are responsible for all activities under your account.

5. Subscription & Payment Terms

If you subscribe to a paid plan:

• Fees are billed in advance on a recurring basis
• Payments are non-refundable unless required by law
• We may change pricing with prior notice
• Failure to pay may result in suspension or termination of your account.

6. User Responsibilities

You agree not to:

• Use the Service for illegal activities
• Upload harmful, malicious, or fraudulent content
• Attempt unauthorized access to our systems
• Interfere with the security or performance of the platform

You are responsible for ensuring that invoice data and financial records comply with applicable tax and accounting laws.

7. Data Protection & Privacy

We process personal data in accordance with our Privacy Policy and applicable laws, including GDPR.

You are the data controller for customer data you upload.

We act as a data processor on your behalf when handling such data.

A Data Processing Agreement (DPA) is available upon request.

8. Intellectual Property

All intellectual property rights in the Service, including software, design, trademarks, and content, are owned by Irusri Group AB or its licensors.

You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription.

You may not:

• Copy or reverse-engineer the software
• Resell or sublicense the Service
• Use our branding without written permission

9. Service Availability

We aim to provide high uptime and reliable service. However:

• We do not guarantee uninterrupted or error-free operation
• Maintenance or technical issues may cause temporary downtime
• We are not liable for losses resulting from temporary service interruptions.

10. Limitation of Liability

To the fullest extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount paid by you in the previous 12 months
• Nothing in these Terms excludes liability where prohibited under Swedish or EU law.

11. Termination

You may cancel your account at any time.

We may suspend or terminate your account if:

• You breach these Terms
• You fail to pay subscription fees
• Your use poses security or legal risks

Upon termination:

• Access to the Service will cease
• Data may be deleted after a reasonable retention period

12. Confidentiality

Both parties agree to maintain confidentiality of non-public business information shared during the use of the Service.

13. Force Majeure

We are not liable for failure to perform obligations due to events beyond our reasonable control, including natural disasters, cyber-attacks, or government actions.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of Sweden.

Any disputes shall be resolved in the courts of Sweden unless otherwise required by applicable EU law.

15. Changes to Terms

We may update these Terms from time to time.

Updated versions will be published on our website with a revised “Last Updated” date.

Continued use of the Service after updates constitutes acceptance of the revised Terms.
